How to register a fashion business

Overview

Registering your fashion business in Nigeria protects the name, opens the door to a business bank account, and looks more professional to customers and partners. The Corporate Affairs Commission (CAC) handles it, and much of the process is now online.

Two common structures

Business Name (BN) — the simpler, cheaper option. Registers your trading name. Suitable for sole traders and small brands.
Limited Liability Company (LLC / Ltd) — separates you personally from the business. Better if you plan to raise money, hire, or protect personal assets. Costs more; more paperwork.

Most fashion startups begin with a Business Name and upgrade to a Limited Company later.

The steps (Business Name)

Pick a name. Something distinctive and available. Avoid names that are too close to existing brands.
Reserve the name on the CAC's online portal (cac.gov.ng).
Register the Business Name — submit details of the business, owner(s), address, and pay the fee.
Receive your certificate. Usually digital.
Get a Tax Identification Number (TIN) — automatically issued in most cases after CAC registration.
Open a business bank account. Take your CAC certificate, TIN, and personal ID to your bank.

For a Limited Company

Same online process on cac.gov.ng.
Requires directors' details, share allocation, memo & articles, and higher fees.
Consider using a lawyer or a registration agent — the process is more involved.

Beyond CAC

BVN and Tax ID — you'll need both to set up Javern payouts and to file returns.
State-level business permits — some Lagos and Abuja local councils require them.
NAFDAC / SON — only if you're producing cosmetics, food, or specific regulated goods (not usually needed for clothing).
Intellectual property registration — trademarking your brand name and logo can be worth it once you're growing.

Costs to expect

Business Name registration: typically ₦10,000–₦20,000 all-in.
Limited Company: ₦20,000–₦50,000+ depending on share capital.
Trademark registration: separate process, budget ₦50,000+ per class.
